This position is an opportunity for a talented and motivated commercial attorney to serve in an impactful, business-oriented in-house legal role in the healthcare IT industry, supporting ZOLL Itamar’s sleep diagnostics business. Serving as a critical member of a dynamic team, Counsel will partner with the business to review, negotiate, and draft a wide range of commercial agreements and provide legal advice on a broad range of issues.

The position supports all levels of the business and requires meaningful judgment, discretion, and organizational intelligence. Counsel will collaborate with various departments functional areas, including sales, marketing, and R&D. Success will help drive sales acceleration and speed new offerings to market.Essential Job Functions:
- Draft and Negotiate Contracts –Draft, review and negotiate all forms of contracts and third-party agreements with customers, vendors, and partners. Examples include software license and ASP customer agreements, business associate agreements, reseller agreements, distribution agreements and services agreements. In particular, the sales process can entail significant contract negotiation.
- Advise the Business – Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients. Provide proactive legal and business counseling on a broad range of topics, including, compliance, privacy, employment, general commercial law, contract interpretation, and intellectual property.
- Support Corporate Initiatives – Assist with corporate-level initiatives and other related duties.
Education and Certifications:
Graduate of an accredited law school and licensed to practice law.
Position Requirements :
Experience: Minimum 4 years’ experience as an in-house counsel or associate in large firm
Computer knowledge: Full computer proficiency in Outlook
